This agreement outlines the terms under which the Employee/Contractor agrees to protect the Company’s confidential information and assign any inventions created during their engagement with the Company, effective from [Start Date].
For the purpose of this agreement, “Confidential Information” includes all proprietary data, trade secrets, and any other information disclosed by the Company that is not generally known and is declared as confidential, whether orally or in writing.

This agreement governs the handling of the Company’s confidential information and the assignment of any inventions developed by the Employee/Contractor during their association with the Company, commencing on [Start Date].
